Terms of Service

1. Acceptance of Terms

By downloading, installing, or using Exody ("the Product", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Product.

2. What Exody Is

Exody is a local-first AI workbench for macOS. It runs on your Mac and connects to third-party language-model APIs (e.g., Anthropic, OpenAI, Google, xAI, Kimi, DeepSeek) using your own API credentials ("BYOK"). Exody does not provide AI model access itself; it routes your prompts to the providers you configure.

3. Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction to use Exody. If you use Exody on behalf of an organization, you represent that you have authority to bind that organization.

4. Accounts and API Keys

Exody requires you to bring your own API keys from supported model providers. You are solely responsible for:

• Securing your API keys within Exody Settings
• All charges incurred with your model providers
• Compliance with each provider's terms of service
• Rotating or revoking keys as needed

Exody stores API keys locally on your Mac in ~/Library/Application Support/Exody. They are never transmitted to our servers.

5. Subscriptions and Billing

Exody offers a free BYOK tier and a paid Pro subscription ($15/month). Enterprise pricing is custom.

Pro subscriptions are billed in advance. You may cancel at any time; access continues until the end of the current billing period. We do not prorate partial months.

All subscription fees are separate from and in addition to any API usage charges from your model providers.

6. Refund Policy

If you are unsatisfied with your Pro subscription, contact us within 14 days of your first payment at hello@exody.ai for a full refund. Refund requests after 14 days are considered on a case-by-case basis but are not guaranteed.

We do not offer refunds for API usage charges — those are between you and your model provider.

7. Acceptable Use

You agree not to use Exody to:

• Violate any law or regulation
• Infringe intellectual property or privacy rights
• Distribute malware, spam, or harmful content
• Reverse engineer, decompile, or tamper with the Product
• Circumvent usage limits or security measures

We may suspend or terminate access for violations.

8. Intellectual Property

Exody and its branding, code, and design are our intellectual property. You receive a limited, non-exclusive, non-transferable license to use the Product for your own purposes. You may not redistribute, sell, or create derivative works from the software.

You retain full ownership of any code, designs, or content you create using Exody.

9. Disclaimer of Warranties

Exody is provided "as is" without warranties of any kind, express or implied. We do not guarantee that the Product will be error-free, secure, or meet your specific requirements. AI-generated output may be incorrect or incomplete — always review before using in production.

10. Limitation of Liability

To the maximum extent permitted by law, Exody's total liability for any claim arising from these terms or your use of the Product shall not exceed the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

11. Termination

You may stop using Exody at any time. We may suspend or terminate your access if you violate these terms. Upon termination, your local data remains on your Mac; we do not retain copies.

12. Changes to These Terms

We may update these terms from time to time. We will notify users of material changes via email or in-app notice. Continued use after changes constitutes acceptance.

13. Governing Law

These terms are governed by the laws of the State of Israel, without regard to conflict-of-law principles.
